According to the reply on Approving the non-public development of shares of Shenzhen BAOYING Construction Holding Group Co., Ltd. (zjxk [2021] No. 1768) issued by China Securities Regulatory Commission, Shenzhen BAOYING Construction Holding Group Co., Ltd. (hereinafter referred to as “the company”) non publicly issued 174951772 RMB ordinary shares (A shares) to Zhuhai Aviation City Development Group Co., Ltd. at an issue price of 4.04 yuan / share. After this non-public offering, the total share capital of the company increased to 1516248693 shares (hereinafter referred to as “this non-public offering”).
All the current directors, supervisors and senior managers of the company did not participate in the non-public offering. After the offering, the total share capital of the company increased accordingly, the number of shares held by the current directors, supervisors and senior managers of the company did not change, and the shareholding ratio was passively diluted due to the increase of total share capital.
