Independent opinions on relevant matters of the 15th meeting of the seventh board of directors
As an independent director of Zhejiang Wanfeng Auto Wheel Co.Ltd(002085) (hereinafter referred to as “the company”), we have carefully examined the relevant matters considered at the 15th meeting of the seventh board of directors of the company in accordance with the rules for independent directors of listed companies, the standards for governance of listed companies, the articles of Association and other relevant provisions of the CSRC. Based on the principle of independent and objective judgment, we express the following opinions:
After verification, Mr. Zhao Yahong has the qualifications and work experience to perform the duties of a director, is competent for the duties of his post, and is qualified to serve as a director of the company. There are no circumstances under which the company law, the Listing Rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and the articles of association stipulate that they are not allowed to serve as directors of the company; Without the punishment of the CSRC and other relevant departments and the punishment of the stock exchange, they are not “dishonest Executees”.
It is agreed that the board of directors of the company shall nominate Mr. Zhao Yahong as a candidate for non independent director of the seventh board of directors of the company, and submit the matter to the general meeting of shareholders of the company for deliberation.
