As an independent director of Foshan Nationstar Optoelectronics Co.Ltd(002449) (hereinafter referred to as the “company”) in accordance with the relevant provisions of the rules for independent directors of listed companies (revised in January 2022), the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board (revised in January 2022), the standards for corporate governance of listed companies and the articles of association, Based on the position of independent judgment, we conducted a pre review of the proposal on the prediction of the company’s daily connected transactions in 2022 to be considered at the 16th meeting of the Fifth Board of directors. After reviewing the relevant materials, we conducted in-depth discussion with the board of directors and management of the company on relevant matters and issues of concern, and issued the following pre approval opinions:
The daily related party transactions between the company and related parties are required by the company’s daily production and operation, meet the objective needs of the company’s business development, follow the principles of legality and fairness of transaction pricing procedures, and there is no situation that damages the interests of the company and all shareholders, especially minority shareholders. Therefore, we unanimously agree to submit it to the 16th meeting of the 5th board of directors of the company for deliberation, and the related directors need to avoid voting on this proposal.
