1、 Progress of acceptance of this litigation
Medicalsystem Biotechnology Co.Ltd(300439) (hereinafter referred to as “the company”) recently received the summons (case No. (2021) zhe 0212 min Chu 16487) issued by the people’s Court of Yinzhou District, Ningbo City (hereinafter referred to as “the Yinzhou court”) on the case of equity transfer dispute between the company and the former shareholder Yao Danhua of Hangzhou Yitian Biotechnology Co., Ltd. (hereinafter referred to as “Hangzhou Yitian”).
2、 Basic information about the case
In October 2021, the company filed a lawsuit with Yinzhou Court on the dispute over equity transfer such as Yao Danhua, the former shareholder of Hangzhou Yitian, a wholly-owned subsidiary, who failed to perform his obligations as agreed in the agreement. On November 16, 2021, Yinzhou court issued the notice of Ningbo Yinzhou District People’s court accepting the case (2021) zhe 0212 min Chu 16487 and agreed to file the case for trial.
As the plaintiff of the case, the company filed a lawsuit on the above equity transfer dispute as follows:
The defendant Yao Danhua was requested to pay a total settlement amount of 50425980.27 yuan, a total penalty of 2724047.02 yuan, interest related to the penalty (calculated at 0.06% per day from September 15, 2021 to the date of settlement), basic lawyer fees and all litigation costs of the case. Due to the defendant Yao Danhua’s objection to jurisdiction during this period, the Yinzhou court ruled that the objection was rejected and appealed to Ningbo intermediate people’s Court (hereinafter referred to as “Ningbo intermediate people’s court”). On January 20, 2022, Ningbo intermediate people’s Court issued a final ruling, rejecting Yao Danhua’s appeal and upholding the ruling of Yinzhou court, that is, Yinzhou court has jurisdiction over the case.
