According to the working system of Org Technology Co.Ltd(002701) independent directors and relevant laws, regulations and normative documents, as an independent director of the company, after careful and careful research, we express the following independent opinions on the proposal on early redemption of “orri convertible bonds” deliberated at the first meeting of the Fourth Board of directors in 2022:
After verification, we believe that the company’s exercise of the right of early redemption of the convertible corporate bonds issued on February 11, 2020 (bond abbreviation: Aorui convertible bonds, bond Code: 128096. SZ) is in line with the measures for the administration of securities issuance of listed companies and the measures for the administration of convertible corporate bonds Relevant laws and regulations such as the Listing Rules of Shenzhen Stock Exchange and the relevant provisions on conditional redemption in the prospectus for the public offering of convertible corporate bonds. At the same time, the necessary examination and approval procedures have been performed, and there is no situation that damages the interests of the company and shareholders.
Therefore, we agree that the company will exercise the right of early redemption of “orri convertible bonds” and redeem all “orri convertible bonds” registered after the closing of the redemption registration date at the price of bond face value plus accrued interest of the current period.
