Gree Electric Appliances Inc.Of Zhuhai(000651) (hereinafter referred to as “the company”) in accordance with the provisions and requirements of the notice on further implementing matters related to cash dividends of listed companies and other relevant documents issued by the China Securities Regulatory Commission, while paying attention to its own development, it attaches great importance to realizing shareholder return with its own operating performance, so as to establish a scientific, sustainable and stable shareholder return mechanism, Effectively protect the legitimate rights and interests of shareholders and promote the rational development of the capital market. The company formulates the shareholder return plan for the next three years (2022-2024) (hereinafter referred to as the “plan”) by comprehensively considering the enterprise profitability, business development plan, shareholder return and other factors, with the specific contents as follows:

1、 The company will make profit distribution twice a year from 2022 to 2024, i.e. annual profit distribution and medium-term profit distribution.

2、 On the premise that the company’s cash flow meets the company’s normal operation and long-term development, the total annual cumulative cash dividends of the company from 2022 to 2024 shall not be less than 50% of the net profit of the year.

3、 If the return plan needs to be adjusted according to the company’s production and operation, investment planning and long-term development, or due to major changes in the external business environment and its own business conditions, the company may propose an adjustment plan without violating the profit distribution policy determined in the Gree Electric Appliances Inc.Of Zhuhai(000651) articles of association. The adjustment plan shall be reviewed and approved by the board of directors and the general meeting of shareholders, Independent directors express independent opinions.
