1、 Independent opinions on applying for credit from banks
After verification, the company’s application to the bank for credit and the provision of guarantees meet the needs of the company’s normal production and operation activities. All the above guarantees are provided to the companies within the scope of the consolidated statements. The company has absolute control over them, the financial risks are within the scope of the company’s effective control, and the loans are mainly needed for their production and operation, The above guarantee will not harm the interests of the company. This guarantee does not involve counter guarantee. At present, the company is in good operating condition and has good solvency. Therefore, we agree to apply to the bank for credit. 2、 Independent opinions on changing the head of the internal audit department
After verification, Ms. Shi Mei has good accounting professional knowledge and rich working experience, is familiar with relevant laws and regulations, and has the qualification and ability to act as the person in charge of the internal audit department of the company. Ms. Shi Mei is not allowed to act as the person in charge of the internal audit department of listed companies as stipulated in the company law, other laws, regulations, normative documents and the articles of association, He has not been punished by the CSRC and other relevant departments or the stock exchange, and the procedures for the board of directors to consider and appoint the head of the company’s internal audit department comply with relevant regulations. Therefore, we unanimously agree to appoint Ms. Shi Mei as the head of the internal audit department of the company.
