Announcement on the resolutions of the 14th meeting of the 7th board of supervisors

1、 Meetings of the board of supervisors
The notice of the 14th meeting of the seventh board of supervisors of Shanxi Tond Chemical Co.Ltd(002360) (hereinafter referred to as “the company”) was delivered to the supervisors by hand and wechat on January 19, 2022. The meeting was held on site in the conference room on the ninth floor of the company on January 24, 2022. Three supervisors should attend the meeting and three supervisors actually attended the meeting. The meeting was convened and presided over by Mr. Bai Lijun, chairman of the board of supervisors of the company. The meeting was held in accordance with the company law of the people’s Republic of China (hereinafter referred to as the “company law”) and relevant laws and regulations, as well as the provisions of the Shanxi Tond Chemical Co.Ltd(002360) articles of Association (hereinafter referred to as the “articles of association”).
2、 Deliberation at the meeting of the board of supervisors
After careful deliberation by the attending supervisors, the meeting adopted the following proposals:
(I) deliberated and passed the proposal on early redemption of “Tongde convertible bonds”.
The closing price of A-Shares of the company for 15 consecutive trading days from January 4, 2022 to January 24, 2022 is not lower than 130% (i.e. 6.604 yuan / share) of the current conversion price (5.08 yuan / share), which has triggered the conditional redemption terms agreed in the prospectus for public issuance of convertible corporate bonds. The board of supervisors agrees that the company shall exercise the early redemption right of “Tongde convertible bonds” and redeem all “Tongde convertible bonds” registered after the closing of the redemption registration date at the price of bond face value plus accrued interest of the current period.
