As an independent director of Shanxi Tond Chemical Co.Ltd(002360) (hereinafter referred to as the “company”) in accordance with the rules for independent directors of listed companies, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and the stock listing rules of Shenzhen Stock Exchange, We hereby express the following opinions on the relevant proposals of the 19th meeting of the seventh board of directors of the company:
1、 Independent opinions on early redemption of “Tongde convertible bonds”
After verification, we believe that the company’s exercise of the early redemption right of “Tongde convertible bonds” this time complies with the relevant laws and regulations and the relevant provisions on conditional redemption in the prospectus for public issuance of convertible corporate bonds, and has fulfilled the necessary approval procedures. Therefore, we agree that the company redeems all “Tongde convertible bonds” registered after the closing of the market on the redemption registration date at the price of the face value of convertible corporate bonds plus the accrued interest of the current period.
