As an independent director of East Money Information Co.Ltd(300059) (hereinafter referred to as “the company”), in accordance with the rules for independent directors of listed companies, the Listing Rules of GEM stocks of Shenzhen Stock Exchange, the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 2 – standard operation of GEM listed companies, the articles of association, the company’s independent director system and other relevant laws and regulations In accordance with the provisions of the rules and regulations, we express the following independent opinions on the relevant matters of the company:
1、 Independent opinions on exercising the early redemption right of convertible corporate bonds
After deliberation, we believe that the company’s exercise of the right of early redemption of convertible corporate bonds issued to unspecified objects on April 7, 2021 (hereinafter referred to as “convertible bonds” or “dongcaizhuan 3”) complies with relevant laws and regulations and relevant provisions on conditional redemption in the prospectus for the issuance of convertible corporate bonds to unspecified objects on the East Money Information Co.Ltd(300059) gem, At the same time, we have fulfilled the necessary approval procedures, and we agree that the company will redeem all “Dongcai Zhuan 3” registered after the closing of the redemption registration date at the price of the face value of convertible bonds plus the accrued interest of the current period.
