According to the actual operation of the company and the business needs of 2022, the company and its subsidiaries have daily related party transactions such as product sales, procurement of materials, provision and acceptance of labor services with the company’s joint-stock companies and subsidiaries under the same controller. On January 21, 2022, the 23rd Meeting of the sixth board of directors of the company passed the proposal on the prediction of daily connected transactions in 2022 by 5 votes in favor, 0 votes against and 0 abstentions. The connected directors Mr. Li Dongsheng, Mr. Liao Qian, Mr. Shen Haoping and Ms. Zhang Changxu have avoided voting.
According to the articles of association and other relevant provisions, the company has obtained the prior approval of independent directors and unanimously agreed to submit this proposal to the board of directors for deliberation, which is in line with legal provisions and relevant deliberation procedures.
