City Development Environment Co.Ltd(000885) intends to absorb and merge Tus Environmental Science And Technology Development Co.Ltd(000826) and raise supporting funds (hereinafter referred to as “this transaction”) by issuing RMB common shares (A shares) to all shareholders of Tus Environmental Science And Technology Development Co.Ltd(000826) (hereinafter referred to as “the company” or ” Tus Environmental Science And Technology Development Co.Ltd(000826) “).
In accordance with the provisions of relevant laws, regulations and normative documents such as the measures for the administration of major asset restructuring of listed companies, the Interim Provisions on strengthening the supervision of abnormal stock transactions related to major asset restructuring of listed companies, the company hereby makes the following commitments on whether it is not allowed to participate in any major asset restructuring of listed companies: 1. As of the date of this letter, The company has not been placed on file for investigation or investigation due to insider trading related to this transaction and has not been closed.
