In accordance with the guiding opinions on the establishment of independent director system in listed companies, the articles of association and other relevant requirements, as independent directors of the company, we conducted a careful investigation on the relevant matters considered at the 12th meeting of the 9th board of directors, The independent opinions are as follows:
1. About adjusting daily related party transactions in 2021
The adjustment of daily related party transactions is the normal demand of the company’s daily business activities. The transaction price is based on the market price and follows the principle of fair and reasonable pricing, which will not affect the independence of the company. The company’s main business will not rely on related parties due to the above transactions, and will have no adverse and significant impact on the company’s financial status and operating results, There is no situation that damages the interests of the company and all shareholders. When the board of directors of the company deliberated the proposal, the related directors Wang Baihua, Zhang Ge and Wang Bing have avoided voting, and the voting procedures comply with the provisions of relevant laws and regulations and the articles of association.
2. Appointment of deputy general manager of the company
After reviewing Mr. Gong Mingxiang’s personal resume and relevant materials, we believe that he meets the employment conditions specified in relevant laws, regulations and the articles of association, and there is no situation specified in Article 146 of the company law, and there is no situation that he is determined as a market prohibited person by the CSRC and the prohibition has not been lifted. The nomination and appointment procedures of senior managers comply with the relevant provisions of the company law and the articles of association, and the deliberation and voting results of their proposals are legal and effective. After understanding the personal resume, educational background and work experience of relevant personnel, it is considered that they are competent for the corresponding responsibility requirements of the company, which is conducive to the development of the company and does not damage the interests of the company and all shareholders, especially small and medium-sized shareholders.
