As an independent director of Weichai Power Co.Ltd(000338) (hereinafter referred to as the “company”), In accordance with the securities law of the people’s Republic of China, the company law of the people’s Republic of China, the Listing Rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the rules for independent directors of listed companies, the guidelines for governance of listed companies and other relevant laws, regulations and normative documents, In combination with the articles of association, working system of independent directors and other relevant provisions, we hereby express the opinions of independent directors on the appointment of senior managers by the board of directors as follows:
1. After reviewing Mr. Feng Gang’s resume and other relevant materials, it is not found that he is not allowed to serve as a senior manager of the company in accordance with Article 146 of the company law of the people’s Republic of China, nor is he determined as a market prohibited person by the China Securities Regulatory Commission and the prohibition has not been lifted, It is considered that it complies with the company law of the people’s Republic of China, the articles of association and other relevant provisions on the qualification of senior managers.
2. Upon review, Mr. Feng Gang’s nomination and appointment procedures are legal and compliant.
3. Agree to appoint Mr. Feng Gang as the CEO of the company.
