1、 Contract signing overview
Guangzhou Hengyun Enterprises Holdings Ltd(000531) (hereinafter referred to as “the company”) and its wholly-owned subsidiary Guangzhou Hengyun thermal power (d) Plant Co., Ltd. (hereinafter referred to as “plant D”) signed the power purchase and sales contract between Guangzhou suikai Power Industry Co., Ltd. and Guangzhou Hengyun Enterprises Holdings Ltd(000531) and the contract between Guangzhou suikai power Industry Co., Ltd. and Guangzhou Hengyun thermal power recently with Guangzhou suikai Power Industry Co., Ltd. (hereinafter referred to as “suikai power”) (D) Power purchase and sale contract of Power Plant Co., Ltd. No actual transaction occurred in 2021.
Suikai power is a wholly-owned subsidiary of Guangzhou high tech Zone Modern Energy Group Co., Ltd. (hereinafter referred to as “energy group”, which holds 39.59% of the company’s shares), the controlling shareholder of the company, and is a related party of the company. This transaction constitutes a related party transaction and needs to be submitted to the board of directors and the general meeting of shareholders for deliberation. After the specific cooperation matters are clarified, the company will perform the decision-making and approval procedures and timely perform the obligation of information disclosure in accordance with the requirements of relevant laws and regulations. This Agreement does not constitute a major asset reorganization specified in the administrative measures for major asset reorganization of listed companies.

Suikai power is a wholly-owned subsidiary of Guangzhou high tech Zone Modern Energy Group Co., Ltd. (holding 39.59% of the company’s shares), the controlling shareholder of the company, and is a related party of the company. This transaction constitutes a related party transaction. Suikai power has no similar related party transactions with the company in the past three years. Upon investigation, suikai power is not a dishonest person and has good performance ability.
3、 Main contents of the contract
(I) main contents of the agreement between suikai power industry and the company
From January 1, 2022 to December 31, 2022, suikai power purchased 804.53 million kwh of annual bilateral negotiated electricity from the company. The annual unit price of bilateral negotiated electricity is 0.503 yuan / kWh (including tax, and the benchmark electricity price is 0.463 yuan / kWh). During the transaction cycle, if the latest benchmark electricity price announced by the trading center and other relevant government agencies changes, the annual bilateral negotiated electricity = the latest benchmark electricity price + 0.04 yuan / kWh.
Both parties agree that from January 1, 2022 to December 31, 2022 (hereinafter referred to as the transaction cycle), Party A purchases 804.53 million kwh of annual bilateral negotiation power from Party B, and the annual bilateral negotiation power is distributed according to the curve (unit: 10000 KWH) as follows:

The monthly and daily load curve is decomposed into daily load according to the monthly and daily load regulation curve of 2022 published by the trading center; The daily time-sharing curve is decomposed to hourly according to the 2022 daily time-sharing unified load regulation curve published by the trading center.
(II) main contents of the agreement between suikai power industry and plant D
From January 1, 2022 to December 31, 2022, suikai power purchased 195.47 million kwh of annual bilateral negotiated electricity from plant D. The annual unit price of bilateral negotiated electricity is 0.503 yuan / kWh (including tax, and the benchmark electricity price is 0.463 yuan / kWh). During the transaction cycle, if the latest benchmark electricity price announced by the trading center and other relevant government agencies changes, the annual bilateral negotiated electricity = the latest benchmark electricity price + 0.04 yuan / kWh.

4、 Impact of contracts on Listed Companies
