Announcement on by election of employee representative supervisors of the company

1、 Election of employee representatives and supervisors
On January 18, 2022, Sgis Songshan Co.Ltd(000717) (hereinafter referred to as “the company” or “the company”) received the resignation of Mr. Guo Chunhong, the employee representative supervisor. Mr. Guo Chunhong applied to resign as the employee representative supervisor due to work reasons. According to the relevant provisions of the company law, the articles of association and the employee congress system of the company, on January 20, 2022, the company held the first and third employee congress. After the election of the employee congress, Mr. Xie Wenxian was elected as the employee representative supervisor of the eighth board of supervisors of the company (Mr. Xie Wenxian’s resume is attached). Upon the review of the board of supervisors, Mr. Xie Wenxian is qualified as a supervisor. The term of office of the employee representative supervisor Mr. Xie Wenxian is the same as that of the eighth board of supervisors from the date of deliberation and approval by the employee congress.
According to the company law and the articles of association, the resignation of Mr. Guo Chunhong, the former employee representative supervisor, will take effect on January 20, 2022. After his resignation, Mr. Guo Chunhong will no longer hold any position in the company.

Mr. Xie Wenxian is not the executee of dishonesty, nor is he the subject of responsibility for dishonesty or the object of punishment for dishonesty. Up to now, Mr. Xie Wenxian does not hold shares in the company. Mr. Xie Wenxian serves as the employee representative supervisor of Zhongnan iron and steel, the controlling shareholder of the company. In addition, Mr. Xie Wenxian has no relationship with shareholders holding more than 5% shares, actual controllers, other directors, supervisors and senior managers of the company. Mr. Xie Wenxian also does not have the following circumstances: (1) one of the circumstances specified in Article 146 of the company law; (2) Being prohibited from entering the securities market by the CSRC, and the term has not expired; (3) It is publicly recognized by the stock exchange as unfit to serve as a supervisor of a listed company, and the term has not expired; (4) Administrative punishment by the CSRC in the last three years; (5) Publicly denounced by the stock exchange or criticized in more than three circulars in the past three years; (6) The case has been filed for investigation by judicial organs for suspected crimes or by CSRC for suspected violations of laws and regulations, and there is no clear conclusion.
