Based on our independent position, we express the following independent opinions: after verification, The nomination, deliberation and voting procedures of candidates for independent directors comply with relevant laws and the articles of association, and are legal and effective; After reviewing the resume and relevant materials of Mr. Ren Guangming, the candidate for independent director, it is considered that Mr. Ren Guangming has the qualifications and work experience to perform the duties of the board of directors, and it is not found that he is not allowed to serve as an independent director of the company as stipulated in the company law, the articles of association and the guidance on establishing an independent director system in listed companies, There is no case that he has been determined as a market prohibited person by China Securities Regulatory Commission and the prohibition has not been lifted, nor has he received any punishment and punishment from China Securities Regulatory Commission and Shenzhen Stock Exchange. He is qualified to serve as an independent director of the company and meets the requirements for serving as an independent director of the company. Up to now, Mr. Ren Guangming has not obtained the qualification certificate of independent director. According to the relevant regulations of Shenzhen Stock Exchange, he has made a written commitment to participate in the latest independent director training and obtain the qualification certificate of independent director recognized by Shenzhen Stock Exchange. We unanimously agree to nominate Mr. Ren Guangming as the candidate for independent director of the 10th board of directors of the company, and agree to submit the proposal to the general meeting of shareholders of the company for deliberation.
