Hnac Technology Co.Ltd(300490) (hereinafter referred to as “the company”) intends to issue convertible corporate bonds to unspecified objects. According to the opinions of the general office of the State Council on Further Strengthening the protection of the legitimate rights and interests of small and medium-sized investors in the capital market (GBF [2013] No. 110) and the guiding opinions on matters related to IPO, refinancing and dilution of immediate return for major asset restructuring (CSRC announcement [2015] No. 31) of China Securities Regulatory Commission and other relevant documents, In order to ensure that the company’s filling return measures can be effectively implemented, all directors, senior managers, controlling shareholders and actual controllers of the company have issued relevant commitments to take filling measures to dilute the immediate return on the issuance of convertible corporate bonds to unspecified objects. The details are as follows:
1、 The commitment of directors and senior managers of the company that the company’s compensation measures can be effectively implemented
In order to safeguard the legitimate rights and interests of the company and all shareholders, the directors and senior managers of the company make the following commitments on the practical implementation of the measures to fill the immediate return:
1. I promise not to transfer benefits to other units or individuals free of charge or under unfair conditions, nor to damage the interests of the company in other ways;
2. I promise to restrict my job consumption behavior;
3. I promise not to use the company’s assets to engage in investment and consumption activities unrelated to my performance of duties; 4. I promise that the remuneration system formulated by the board of directors or the Remuneration Committee will be linked to the implementation of the company’s compensation measures;
5. If the company subsequently launches the company’s equity incentive policy, I promise that the exercise conditions of the company’s equity incentive to be announced will be linked to the implementation of the company’s filling return measures;
6. After this letter of commitment is issued, if the China Securities Regulatory Commission, Shenzhen Stock Exchange and other securities regulatory authorities make other provisions or other requirements on the filling return measures and commitments, I promise to issue supplementary commitments in accordance with the latest provisions at that time;
7. I promise to earnestly fulfill this commitment. If I violate such commitments and cause losses to the company or investors, I am willing to bear the liability for compensation to the company or investors according to law.
2、 Commitments issued by the controlling shareholder and actual controller of the company
In order to safeguard the legitimate rights and interests of the company and all shareholders, the controlling shareholders and actual controllers of the company make the following commitments on the practical implementation of the measures to fill the immediate return:
1. Do not interfere with the operation and management activities of the company beyond its authority, and do not encroach on the interests of the company;
2. After this letter of commitment is issued, if the China Securities Regulatory Commission, Shenzhen Stock Exchange and other securities regulatory authorities make other provisions or other requirements on the filling return measures and commitments, I promise to issue supplementary commitments in accordance with the latest provisions at that time;
3. I will earnestly fulfill the measures for filling the immediate return and this commitment formulated by the company. If I violate this commitment or refuse to fulfill this commitment, resulting in losses to the company or other shareholders, I agree to bear corresponding legal responsibilities in accordance with laws, regulations and relevant provisions of securities regulatory authorities.
