Proposal on changing the registered capital and amending the articles of Association
Dear shareholders
Whereas Datang Telecom Technology Co.Ltd(600198) (hereinafter referred to as “the company”) has obtained the reply on approving Datang Telecom Technology Co., Ltd. to issue shares to purchase assets and raise supporting funds from Telecom Science and Technology Research Institute Co., Ltd. (zjxk [2021] No. 3972) from China Securities Regulatory Commission, And has completed the payment of new registered capital and the registration of new shares. The company held the 14th meeting of the 8th board of directors on January 11, 2022, and deliberated and adopted the proposal on changing the registered capital and amending the articles of association. The details are as follows:
1、 Increase of registered capital of the company
In view of the fact that the company has issued shares to purchase assets and raised supporting funds, the registered capital and the total number of shares of the company have changed accordingly. The registered capital of the company has changed from 882108472 to 1313708906, and the total number of shares has changed from 882108472 to 1313708906.
2、 Amendments to the articles of Association
In view of the above changes in the registered capital and the total number of shares, it is proposed to amend the relevant provisions of the articles of association. The comparison before and after revision is as follows:

Article 6 the registered capital of the company is 882108472 yuan. Article 6 the registered capital of the company is 1313708906 yuan.
Article 20 the total number of shares of the company is 882108472. Article 20 the total number of shares of the company is 1313708906 shares, all of which are ordinary shares. Million shares, all ordinary shares.
Except for the above amended articles, other articles in the articles of association remain unchanged.
3、 Description of other matters
The above matters still need to go through the formalities of industrial and commercial change registration in the administrative department for Industry and commerce, and the final information approved by the administrative department for Industry and Commerce shall prevail.
Relevant contents of this proposal have been deliberated and adopted at the 14th meeting of the 8th board of directors of the company, and are hereby submitted to the general meeting of shareholders for deliberation.

Proposal on the election of independent directors
Dear shareholders
In accordance with the guiding opinions on the establishment of independent director system in listed companies, the guidelines on the filing and training of independent directors of listed companies of Shanghai Stock Exchange and the articles of association, the term of re-election of independent directors shall not exceed six years. Mr. Zong Wenlong, the current independent director of the company, has served as an independent director of the company since February 1, 2016, and his term of office will expire on January 31, 2022.
Now, the board of directors nominates Mr. Hu juntong as the candidate for independent director of the eighth board of directors of the company. The term of office starts from the date of deliberation and approval by the general meeting of shareholders to the expiration of the term of office of the eighth board of directors on May 19, 2024.
The resumes of independent director candidates are as follows:
Hu juntong, male, CPC member, born in February 1980, master, senior accountant and certified public accountant. He once served as director of finance department and general manager of Finance Department of Power Construction Corporation Of China Ltd(Powerchina Ltd)(601669) Group International Engineering Co., Ltd., deputy general manager and chief financial officer of Fangyuan logo certification Group Co., Ltd. He is currently the deputy general manager and chief financial officer of Zhong’an harmonious Technology Development Group Co., Ltd.
