1、 Basic information of this lawsuit
On June 5, 2020, Sunny Loan Top Co.Ltd(600830) (hereinafter referred to as: the company) received the decision on administrative punishment ([2020] No. 4) from Ningbo regulatory bureau of China Securities Regulatory Commission, determined that there were false records in the annual reports of the company in 2015 and 2016, and imposed administrative penalties on the illegal acts of information disclosure involved by the company and relevant responsible persons. (see announcements 2020-018 and 2020-041 for details)
Up to now, a total of 152 natural persons (43 cases) have filed a lawsuit to Ningbo intermediate people’s Court of Zhejiang Province on the grounds of Securities Misrepresentation liability dispute, asking the company to compensate for the economic losses totaling 32318543.91 yuan (originally 38767286.77 yuan, and the litigation amount of some later cases has been changed), and bear the litigation costs of the case.
2、 Trial and judgment of litigation cases
So far, 43 cases have been heard and adjudicated as follows:
1. In 36 cases (36 natural persons), the court has made a judgment, with a total prosecution amount of 13397193.52 yuan (originally 14981185.90 yuan, and the litigation amount of some later cases has been changed), and the total judgment amount is 3099376.71 yuan. Among them, 32 cases (32 natural persons) have come into force, the total prosecution amount is 13135142.48 yuan (originally 14719134.86 yuan, the litigation amount of some later cases has been changed), and the total judgment amount is 3053119.74 yuan. Among the 32 effective cases, the company did not need to pay compensation in one case (one natural person), the performance period of 24 cases (24 natural persons) had expired, and the company had fulfilled the obligation of compensation, with a total compensation of 1833100.77 yuan (including litigation costs), and the judgment of 7 cases had come into force, but the performance period had not expired. Judgements in four other cases have not yet entered into force.
2. The remaining 7 cases (116 natural persons) have not been heard in court, and the amount of prosecution is 18921350.39 yuan (originally 23786100.87 yuan, and the amount of litigation is changed in some later cases).
3、 Impact on current or future profits of the company
The company has confirmed the estimated liabilities of 2544729.46 yuan in 2020. In 2021 and in the future, the company will also confirm the corresponding estimated liabilities in strict accordance with the provisions of accounting standards, which is expected to have a negative impact on the company’s profits and losses.
