Dongguan Development (Holdings) Co.Ltd(000828) (hereinafter referred to as the company and the company) deliberated and adopted the proposal on changing the business scope of the company at the 47th meeting of the seventh board of directors and the 35th meeting of the seventh board of supervisors held on January 18, 2022. The details of the change of the company’s business scope are as follows:
1、 Changes in business scope
According to the company’s development strategy and actual business development, it is proposed to expand and change the company’s business scope, as follows:
Business scope before change: investment, construction and operation of Dongguan expressway.
Business scope to be changed: investment, construction and operation of transportation infrastructure such as expressway and urban rail transit; Planning, design, integration, investment, construction and operation of new energy vehicle charging and replacement facilities and service network; Equity investment and consulting services (for projects subject to approval according to law, business activities can be carried out only after approval by relevant departments).
2、 Impact on the company and subsequent matters
In 2004, the company completed major asset restructuring. After more than 10 years of development, the company’s business has expanded from a single expressway operation and management to an enterprise group integrating expressway, urban rail transit, new energy vehicle charging and replacement, class finance and equity investment. The original business scope does not meet the current business layout of the company.
The change of business scope is in line with the actual situation of the company, will not lead to major changes in the company’s main business and will not have a significant impact on the company’s business model. This change of business scope shall be submitted to the general meeting of shareholders of the company for deliberation and approval, and shall be approved by the market supervision and administration department.
