Announcement on the progress of foreign investment in the establishment of holding subsidiaries

Cloud Live Technology Group Co.Ltd(002306) (hereinafter referred to as “the company”) held the first (Interim) meeting of the Fifth Board of directors in 2022 and the first (Interim) meeting of the Fifth Board of supervisors in 2022 on January 6, 2022, and deliberated and adopted the proposal on foreign investment to establish holding subsidiaries. It is agreed that the company and Yaosheng Wanfeng Electronic Technology (Kunshan) Co., Ltd. (hereinafter referred to as “Yaosheng Wanfeng”) jointly establish Cloud Live Technology Group Co.Ltd(002306) precision technology (Kunshan) Co., Ltd. (hereinafter referred to as “Zhongke precision” or “joint venture”), and the registered capital of the joint venture is tentatively set at 35 million yuan. Of which: the company contributed 20 million yuan in currency, accounting for 57.14% of the registered capital; Yaosheng Wanfeng contributes a total of 15 million yuan in the form of physical assets and intellectual property rights, accounting for 42.86% of the registered capital. The actual contribution of Yaosheng Wanfeng is subject to the evaluation report. If the evaluated value of physical assets and intellectual property rights is less than 15 million yuan, its shareholding proportion in the joint venture will be reduced accordingly according to the actual contribution, and the shareholding proportion of the company in the joint venture will be increased accordingly.
