Remuneration management measures for chairman of the board of directors, chairman of the board of supervisors and senior managers

Chapter I General Provisions

Article 1 These measures are formulated to improve the salary management system of the company’s chairman, chairman of the board of supervisors and senior managers (hereinafter referred to as “senior managers”) and strengthen the incentive and restraint mechanism.

Article 2 These measures are applicable to the chairman, vice chairman and chairman of the board of supervisors and shall be submitted to the general meeting of shareholders for approval; These measures also apply to the president, executive vice president, vice president, chief financial officer, Secretary of the board of directors, compliance director, director of personnel administration and other senior managers appointed by the board of directors; The measures can also reward other excellent management personnel of the company, and other personnel must be reported to the remuneration and assessment committee of the company for approval.

Article 3 the annual salary of the chairman, vice chairman, chairman of the board of supervisors and senior executives is divided into two parts: basic annual salary and performance reward.

Chapter II Determination of basic annual salary

Article 4 according to the job responsibilities, the basic annual salary (including tax) of the chairman, the chairman of the board of supervisors and senior executives are respectively:

840000 yuan for the chairman and 780000 yuan for the vice chairman;

780000 yuan for president and 744000 yuan for executive vice president;

672000 yuan for vice president, chief financial officer, Secretary of the board of directors, chief compliance officer and chief personnel officer; The chairman of the board of supervisors is 420000 yuan.

Chapter III Determination of Performance Award

Article 5 the calculation formula of performance reward for chairman, vice chairman, chairman of the board of supervisors and senior executives is: individual nominal performance reward = overall performance reward × Weight of individual distribution coefficient.

Article 6 overall performance reward = net profit of the current year × 0.8% + new net profit × 3% of which:

(1) New net profit = actual net profit of the current year – average net profit of the previous two years;

(2) When the new net profit is negative, it is calculated as “0”;

(3) The overall performance reward shall not be greater than 7% of the company’s net profit in the current year, and the minimum shall be “0”.

Article 7 according to the division of positions, the distribution coefficient is as follows:

Chairman 2.0; Vice chairman and President 1.5;

Executive vice president 1.3; Vice president, chief financial officer, Secretary of the board of directors, chief compliance officer, chief personnel and administration officer 1.2; Chairman of the board of supervisors 1.0.

If one person has more than one job, the coefficient shall be determined according to the higher one.

Article 8 part of the overall performance reward may be reserved as the reward fund for senior executives and other excellent managers. The board of directors authorizes the remuneration and assessment committee to distribute it.

Chapter IV Determination and evaluation system of actual performance reward

Article 9 on the basis of the overall performance award, the actual performance award shall be further distributed by the salary and assessment committee, which is divided into the distribution part of the current year and the distribution part reserved for future years.

Article 10 individual actual performance reward = actual overall performance reward × Weight of individual distribution coefficient × Evaluation coefficient: after the end of each year, the evaluation coefficient shall be evaluated by the remuneration and evaluation committee authorized by the board of directors according to these measures and distributed according to the above formula.

Chapter V payment of basic annual salary and performance reward

Article 11 the basic annual salary is converted into monthly base salary: monthly base salary = basic annual salary / 12, which is subject to monthly assessment and paid in the form of salary every month.

Article 12 after the end of each assessment year, the remuneration and assessment committee shall assess each senior executive according to the assessment system, calculate the assessment coefficient, and finally determine the individual actual performance award, which shall be issued after being approved by the chairman of the board.

Chapter VI supplementary provisions

Article 13 These Measures shall be implemented after being reviewed by the board of directors and reported to the general meeting of shareholders for approval. The implementation period is 2022 and 2023.

Article 14 the right to interpret these measures belongs to the remuneration and assessment committee of the board of directors of the company.

Article 15 the detailed rules for the implementation of performance appraisal of these Measures shall be formulated by the remuneration and appraisal committee of the board of directors.
