In accordance with the company law of the people’s Republic of China, the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shanghai Stock Exchange, the articles of association, the company’s working system for independent directors and other relevant provisions, as independent directors of Shenzhen Sunxing Light Alloys Materials Co.Ltd(603978) (hereinafter referred to as “the company”), after reviewing relevant materials, Express the following independent opinions on the company’s change of accounting firm:
Rongcheng Certified Public Accountants (special general partnership) has the qualification for securities related business, has the experience and ability to provide audit services for listed companies, can provide true and fair audit services for the company, and meet the requirements of the company’s audit work in 2021. The review procedures of this change of accounting firm comply with laws, regulations, the articles of association and other relevant provisions, and there is no damage to the interests of the company and shareholders. It is agreed to change Rongcheng accounting firm (special general partnership) as the audit institution of the company’s financial report and internal control in 2021, and agree to submit the proposal to the general meeting of shareholders for review.
