Independent opinions on the general election of the board of directors of the company
In accordance with the company law, the rules for independent directors of listed companies, the working system of independent directors, the articles of association of Jiangxi special motor Co., Ltd. and other relevant provisions of the CSRC, as an Jiangxi Special Electric Motor Co.Ltd(002176) independent director, he expressed independent opinions on the relevant contents of the 33rd meeting of the ninth board of directors as follows:
1. On the basis of fully understanding the educational background and work experience of the nominees and based on the position of independent judgment, the opinions on the candidates for non independent directors and independent directors nominated by the board of directors of the company are as follows: the board of directors of the company nominated Mr. Hu Chunhui, Mr. Lu shunmin, Ms. Zhu Wenxi and Mr. Li Wenjun as the candidates for non independent directors of the tenth board of directors of the company; Nominate Mr. Chen Weihua, Mr. Zhu Yuhua and Ms. Wang Yun as candidates for independent directors. This nomination is made after fully understanding the nominee’s occupation, education, professional title, work experience, part-time job and other conditions. It is not found that the nominee has any circumstances specified in Article 146 of the company law or has been banned from the securities market by the CSRC and the time limit has not expired. In my opinion, the nominees are qualified to serve as directors and independent directors of the company and comply with the company law of the people’s Republic of China, the articles of association and other relevant provisions.
2. The nomination procedure complies with the company law of the people’s Republic of China, the articles of association and other relevant provisions. I agree with the candidates for non independent directors and independent directors of the 10th board of directors nominated by the board of directors.
