1、 On the election of independent directors of the seventh board of directors
After reviewing the resume of Mr. Guo Peng, an independent director candidate of the seventh board of directors of the company, it is considered that he is not allowed to serve as an independent director of the company in the company law, the articles of association and other relevant laws and regulations, nor is he determined to be a prohibited person in the market by the CSRC and is still in the period of prohibition, which is in line with the provisions on the qualification of independent directors in the company law and the articles of association, Have the qualifications and professional business ability to serve as an independent director of the company. The nomination and deliberation procedures of independent director candidates comply with relevant regulations. Agree to submit the proposal on the election of independent directors of the seventh board of directors to the general meeting of shareholders for deliberation. In addition, the qualification and independence of independent director candidates need to be filed and reviewed by Shenzhen Stock Exchange, and the general meeting of shareholders can vote only if there is no objection.
