Independent opinions on matters related to the 23rd Meeting of the 4th board of directors
In accordance with the relevant provisions of the company law, the Listing Rules of Shanghai Stock Exchange, the guiding opinions on the establishment of independent director system in listed companies, the articles of association and other laws, regulations and normative documents, we, as independent directors of Arts Group Co.Ltd(603017) (hereinafter referred to as “the company”), based on the principle of prudence and independent judgment, We hereby express the following independent opinions on relevant matters in the 23rd Meeting of the Fourth Board of directors of the company: 1. Proposal on the company’s change of the purpose of share repurchase and cancellation
If the proposal for share repurchase and cancellation is not in line with the company’s strategic development plan, it will not affect the company’s future development and will not be submitted to the shareholders’ meeting for deliberation, which will not affect the company’s development plan, and will not affect the company’s business purpose.
2. Proposal on adding directors
We have fully understood the professional ability, working experience and other basic information of the director candidate this time, and believe that Mr. Wei Wenbin meets the provisions of relevant laws and regulations, the articles of association and the needs of the company’s operation. We agree that Mr. Wei Wenbin is a candidate for director (non independent director) of the Fourth Board of directors, and agree to submit the proposal to the general meeting of shareholders of the company for deliberation. 3. Proposal on developing non recourse factoring business of receivables
We believe that this factoring financing of receivables is conducive to the company’s capital turnover and cash flow management, there is no situation that damages the interests of the company and minority shareholders, and will not affect the business independence of the listed company. When the board of Directors voted on the proposal, the related directors withdrew as required. We unanimously agree to this motion.
