Shanghai Shanghai Yanhua Smartech Group Co.Ltd(002178) Technology (Group) Co., Ltd. (hereinafter referred to as “the company”) disclosed the notice on convening the 2021 annual general meeting of shareholders (Announcement No.: 2022030) on April 30, 2022. The company will hold the 2021 annual general meeting of shareholders on the 17th floor of Putuo Technology building, 1255 Xikang Road, Putuo District, Shanghai on May 25, 2022 (Wednesday), This general meeting of shareholders adopts the combination of on-site voting and online voting.
As Shanghai is currently in a critical period of epidemic prevention and control, in order to strictly implement the relevant requirements of epidemic prevention and control, actively cooperate with the city’s epidemic prevention and control, maximize the health and safety of shareholders, shareholder agents and other participants, and protect the legitimate rights and interests of shareholders according to law, the company’s special tips on relevant matters of attending the general meeting of shareholders during epidemic prevention and control are as follows:
1、 It is suggested that shareholders give priority to online voting to attend the meeting
Based on the relevant requirements of epidemic prevention and control in Shanghai, in order to curb the spread of the epidemic, actively cooperate with the epidemic prevention and control, protect the health of shareholders, shareholders’ agents and other participants, reduce personnel aggregation and reduce the risk of cross infection, it is recommended that shareholders give priority to participating in the shareholders’ meeting through online voting.
2、 The shareholders’ meeting will be held online
The shareholders’ meeting can not be held in the original venue of the shareholders’ meeting, so as to ensure that the meeting can not be held successfully.
As of the equity registration date of this general meeting of shareholders (May 18, 2022), all shareholders registered can choose to participate in the meeting by online meeting. Shareholders and their agents who intend to participate in the online meeting must scan the QR code below between 9:00 on May 20, 2022 and 17:00 on May 22, 2022 to complete the registration.
The information required for the registration of shareholders and their agents attending the online meeting is consistent with the requirements of the on-site shareholders’ meeting. The company will provide online access to shareholders and shareholders’ agents who have successfully registered for the meeting. Shareholders and shareholders’ agents who have obtained the meeting access method are not allowed to share the meeting access information with other third parties.
Shareholders and their proxies who fail to complete the registration at the registration time will not be able to access the meeting, but can still participate in the shareholders’ meeting by online voting.
In addition to the above adjustments, the convening time, online voting time, equity registration date, deliberation matters and other matters of the general meeting of shareholders remain unchanged.
