Announcement on equity pledge of subsidiaries

Due to the needs of production and operation, Guiyang Financial Holding Co., Ltd. (hereinafter referred to as “Guiyang financial holding”), a wholly-owned subsidiary of Zhongtian Financial Group Company Limited(000540) (hereinafter referred to as “the company”), applied to Ping An Bank Co.Ltd(000001) Huizhou Branch (hereinafter referred to as ” Ping An Bank Co.Ltd(000001) Huizhou branch”) for financing of 300 million yuan in September 2016. Up to now, the financing balance is 170 million yuan. The company applied to Jianghai Securities Co., Ltd. for financing of 500 million yuan in September 2016, and Ping An Bank Co.Ltd(000001) Huizhou Branch undertook the debt in November 2021. Up to now, the balance of this financing is 500 million yuan. Through consultation with Ping An Bank Co.Ltd(000001) Huizhou Branch and deliberation and approval of the 21st Meeting of the eighth board of directors, the company pledged 89% of the equity of its wholly-owned subsidiary Zhongtian Urban Investment Group Co., Ltd. (hereinafter referred to as “Zhongtian urban investment”) to Ping An Bank Co.Ltd(000001) Huizhou Branch to provide credit enhancement measures for the above financing matters. Among them, Pledge the 23% equity of zhongtiancheng investment to provide credit enhancement for the financing of Guiyang financial holding; Pledge the 66% equity of Zhongtian Chengtou to provide credit enhancement for the financing of the company.
