The board of directors of Shenzhen Sdg Information Co.Ltd(000070) (hereinafter referred to as “the company”) held the 21st Meeting of the 8th session by means of communication voting on May 17, 2022. As an independent director of the company, we attended the meeting and considered various proposals proposed at the meeting. In accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the rules for independent directors of listed companies and other laws and regulations, normative documents and the articles of association, and based on the position of independent judgment, we express the following independent opinions on the relevant matters and proposals considered by the board of directors:
Independent opinions on the change of relevant contents of the company’s phase I employee stock ownership plan
1. The change of the management mode of the employee stock ownership plan and other relevant contents is conducive to the promotion of the company’s employee stock ownership plan.
2. The changes in the management mode of the employee stock ownership plan comply with the company law of the people’s Republic of China, the securities law of the people’s Republic of China, the guiding opinions on the pilot implementation of the employee stock ownership plan by listed companies, and the self regulatory guidelines for listed companies of Shenzhen Stock exchange No. 1 – standardized operation of listed companies on the main board and other relevant laws and regulations The regulations, normative documents and the articles of association do not prohibit and damage the interests of the company and all shareholders.
3. The employee stock ownership plan follows the principles of legal compliance, voluntary participation and risk bearing. There is no situation in which employees are forced to participate in the employee stock ownership plan by means of apportionment, forced distribution and so on.
4. Related directors have avoided voting in accordance with relevant laws and regulations, and the resolutions formed at the meeting are legal and effective.
