In accordance with the relevant provisions of the company law, the Listing Rules of Shenzhen Stock Exchange, the rules for independent directors of listed companies and the articles of association, as independent directors of the company, based on the position of independent judgment and careful review of the relevant materials of the meeting, we hereby express our independent opinions on the consideration and appointment of senior managers at the first meeting of the eighth board of directors as follows:
According to the development needs of the company, the board of directors of the company appointed Mr. Li Wujun as the general manager of the company, Mr. Mu Xiaofeng, Mr. Shang Haibo and Mr. Yang Wenbin as the deputy general manager of the company, Ms. Liu Yihong as the financial director of the company and Ms. Wang Yu as the Secretary of the board of directors of the company. Among them, Ms. Wang Yu has not obtained the qualification certificate of the Secretary of the board of directors. At present, she has signed up for the latest training of the Secretary of the board of directors of Shenzhen Stock Exchange. According to relevant regulations, the board of directors of the company designated Mr. Wu Yi, the chairman of the board of directors, to act as the Secretary of the board of directors. After Ms. Wang Yu obtained the qualification certificate of the Secretary of the board of directors, she will officially perform the duties of the Secretary of the board of directors. After reviewing the relevant materials, we believe that the above personnel have the educational background, work experience and professional ability, and are qualified to serve as senior managers of the company. We have not found that they are not allowed to serve as senior managers of the company as stipulated in the company law, the guidelines for self discipline supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of companies listed on the main board, and the articles of association, There is no case that the securities market is prohibited by the CSRC or the prohibition has not been lifted, and has not been subject to any punishment and punishment by the CSRC and Shenzhen Stock Exchange. It is not a person subject to dishonesty.
The appointment procedure of senior managers this time complies with the company law and other laws and regulations and the relevant provisions of the articles of association, which is legal and effective.
