Shanxi Road&Bridge Co.Ltd(000755) (hereinafter referred to as “the company”) held the employee congress and the 2021 annual general meeting of shareholders on April 26 and May 18, 2022 respectively, elected the members of the eighth board of directors and the eighth board of supervisors, and completed the general election of the board of directors and the board of supervisors. The 8th board of directors of the company consists of 10 directors, including 5 non independent directors, 4 independent directors and 1 employee representative director.
Non independent directors: Mr. Wu Yi (Chairman), Mr. Li Wujun (vice chairman), Mr. Zhou Shijun (vice chairman), Mr. Guo Conglin and Mr. Meng Jie;
Independent directors: Mr. Yao Xiaomin, Mr. Xiao Yong, Ms. an Yanchen and Mr. Huang Guoliang; Employee representative director: Mr. LV Jingwei.
The term of office of the eighth board of directors of the company is three years, from the date of deliberation and approval of the current board of directors to the expiration date of the eighth board of directors. The number of directors concurrently serving as senior managers and staff representatives in the board of directors shall not exceed half of the total number of directors. The number of independent directors shall not be less than one-third of the members of the board of directors, and the qualification and independence of independent directors have been reviewed by Shenzhen stock exchange without objection.

The term of office of the eighth board of supervisors of the company is three years, from the date of deliberation and approval of the board of supervisors to the expiration date of the eighth board of supervisors. There is no situation in which directors, senior managers and their spouses and immediate family members serve as supervisors of the company during the term of office of directors and senior managers of the company. The proportion of employee representative supervisors in the board of supervisors of the company shall not be less than one-third.
3、 Senior management
According to the relevant provisions of the company law and the articles of association, the board of directors of the company appointed Mr. Li Wujun as the general manager of the company, Mr. Mu Xiaofeng, Mr. Shang Haibo and Mr. Yang Wenbin as the deputy general manager of the company, Ms. Liu Yihong as the financial director of the company and Ms. Wang Yu as the Secretary of the board of directors of the company. 4、 Information about the outgoing personnel
After the general election, Mr. Liu Anmin, Mr. Gao Zaiwen and Mr. Wang Chunyu will no longer serve as directors and members of special committees of the company, Mr. Gao Yonggang, Mr. Wang Pengfei, Mr. Feng Yujun and Mr. Hao Liyong will no longer serve as supervisors of the company, and Mr. Guo Jihe, Mr. Bai Zhigang and Mr. Ji Xi will no longer serve as senior managers of the company.
