1、 Agreement background and overview
On September 14, 2017, Hainan Development Holdings Nanhai Co.Ltd(002163) (hereinafter referred to as “the company”) held the fourth meeting of the sixth board of directors, which considered and adopted the proposal on applying for urban renewal projects. The company decided to apply for urban renewal projects with the production park located in Huangfengling Industrial Zone, Shiyan Street, Bao\’an District, Shenzhen. See the company’s disclosed No. 2017-042 Announcement No. 2018-110.
According to the notice of Shenzhen Bao’an District People’s Government Office on the approval of urban renewal unit planning of AVIC Sanxin glass processing plant in Shiyan street, Bao’an District (Shenbao fuban [2020] No. 21) issued by the office of Shenzhen Bao’an District People’s government, the land area for renewal unit of the project is 32376.2m2, and the land area for demolition is 32376.2m2, The area of development and construction land is 22663.0m2, and the area of public service facilities and other independent land transferred to the government is 9713.2m2.
After the fourth meeting of the seventh board of directors and the fourth extraordinary general meeting in 2020 considered and approved the proposal on considering the relocation compensation and resettlement agreement of the company’s Shiyan glass processing plant urban renewal unit project, the company signed the relocation compensation and resettlement agreement with Shenzhen Qidi Sanxin science and Technology Park Development Co., Ltd. (hereinafter referred to as “Qidi Sanxin science and Technology Park”), The agreement defines the above land area of the project, and stipulates that the company has the obligation to empty the aboveground buildings in time, transfer the project land and the relocated property to tus Sanxin science and Technology Park in time, and cooperate with it in handling the cancellation registration of the real estate ownership certificate of the relocated property and the real estate ownership certificate of the relocated property. Recently, the company signed two compensation agreements (shenbaocheng gengbu [2021] No. 04 and shenbaocheng gengbu [2021] No. 05) with Shenzhen Municipal Bureau of planning and natural resources and tus Sanxin science and technology park. The relevant information is as follows:

3、 Main contents of compensation agreement
The two compensation agreements were jointly signed by the company, Shenzhen Municipal Bureau of planning and natural resources and tus Sanxin science and technology park. The main agreements are as follows:
(I) compensation agreement (Shen Bao Cheng Geng Bu [2021] No. 04)
1. Party C agrees to give up the right to use the land occupied within 22662.89 m2 of construction land and the property right on the ground. The compensation shall be settled by Party B and Party C through negotiation, and agrees that Party A will not make any compensation. Any disputes arising from this in the future have nothing to do with Party A.
2. Party B and Party C promise that there are and only the following real estate right certificates within the above construction land: 5000082581, 5000082582, 5000082583, 5000082584, 5000082585, 5000082586, 5000082587, 5000082588, 5000082589, 5000082590, 5000082591 and 5000080901. Party B and Party C shall solve the compensation matters by themselves and agree that Party A will not make any compensation. In the future, any economic disputes and legal liabilities caused by the failure of Party B and Party C to complete the compensation or the omission of the real estate right certificate shall be solved by Party B and Party C, which has nothing to do with Party A.
3. Party B and Party C promise to complete the demolition of buildings (structures) and land clearance within the above 22662.89 M2 construction land, and complete the cancellation procedures of real estate certificate. 4. From the effective date of this agreement, the ownership and use right of the above 22662.89 M2 land belong to the state, and Party B and Party C will no longer claim any rights and interests in the above 22662.89 M2 land and aboveground objects.
5. When using the land, Party B shall apply to Party A to improve the relevant land use procedures in accordance with relevant laws and regulations. Before the procedures are improved, Party B shall be responsible for the safe production and management of the land. After this Agreement comes into effect, if Party B and Party C fail to improve the land use procedures due to Party B and Party C, and the plot needs to be used due to urban construction, Party B and Party C unconditionally give up the right to apply for improving the above land use procedures, accept the compensation scheme made by Party A in accordance with relevant policies and regulations, and Party B and Party C will no longer claim any other rights and interests on the land.
6. This Agreement shall come into force upon signature and seal of Party A, Party B and Party C.
(II) compensation agreement (Shen Bao Cheng Geng Bu [2021] No. 05)
1. Party C agrees to give up the right to use the land occupied within 9712.86 m2 of land for public interest and the property right on the ground. The compensation shall be settled through negotiation between Party B and Party C, and agrees that Party A will not make any compensation. All disputes arising in the future have nothing to do with Party A.
2. Party B and Party C promise that there are only the following real estate right certificates within the above public interest land: 5000082581, 5000082582, 5000082583, 5000082584, 5000082585, 5000082586, 5000082587, 5000082588, 5000082589, 5000082590, 5000082591 and 5000080901. Party B and Party C shall solve the compensation matters by themselves and agree that Party A will not make any compensation. In the future, any economic disputes and legal liabilities caused by the failure of Party B and Party C to complete the compensation or the omission of the real estate right certificate shall be solved by Party B and Party C, which has nothing to do with Party A.
3. Party B and Party C promise to complete the demolition of buildings (structures) and land clearance within the above 9712.86 M2 public interest land, and complete the cancellation procedures of real estate right certificate. After signing the agreement, Party B shall hand over the above 9712.86 M2 land for public interests to the government for management and use free of charge, and Party B shall be responsible for the safety production and management responsibilities before handing over to the warehouse.
4. From the effective date of this agreement, the ownership and use right of the above 9712.86 M2 land are owned by the state, and Party B and Party C will no longer claim any rights and interests on the above 9712.86 M2 land and aboveground objects.
5. This Agreement shall come into force upon signature and seal of Party A, Party B and Party C.
4、 Impact on the company
The above two compensation agreements are only a step in the implementation of the relocation compensation and resettlement agreement. The company needs to cooperate in handling the cancellation registration of the real estate ownership certificate and the work related to the real estate ownership certificate of the relocated property according to the relevant agreements. The above two compensation agreements will not have a significant impact on the company’s production and operation.

The overall implementation period of the project is long, and there may be uncertainty in the implementation process due to factors such as urban renewal policy adjustment, urban planning change, performance capacity, market, price and force majeure.
