Zhejiang Busen Garments Co.Ltd(002569) (hereinafter referred to as “company”, “listed company” or “BUSEN shares”) received the decision of Zhejiang regulatory bureau of China Securities Regulatory Commission to issue warning letters to Wang Chunjiang, the actual controller of the company, and Zhao Yuhua, the former director of the company ([2022] No. 46) on April 29, 2022. The details are as follows:
Wang Chunjiang, Zhao Yuhua:
After investigation, we found that Wang Chunjiang, the actual controller of Zhejiang Busen Garments Co.Ltd(002569) (hereinafter referred to as the company), and Zhao Yuhua, the director, had the following violations:
On April 2, 2022, Wang Chunjiang and Zhao Yuhua received the “decision on administrative punishment” made by Guangzhou Branch of the people’s Bank of China for violations of laws and regulations of Guangdong Xinhui e-commerce Co., Ltd. and decided to give Wang Chunjiang and Zhao Yuhua a warning and impose an administrative penalty of RMB 1 million respectively. After receiving the decision on administrative punishment, Wang Chunjiang and Zhao Yuhua failed to fulfill their reporting obligations to the company in time and cooperated with the company to fulfill their information disclosure obligations. They did not disclose the above matters through the company until April 22, 2022.
The above-mentioned acts violate the provisions of Articles 3 and 4, paragraph 2 (16) of Article 22 and Article 33 of the measures for the administration of information disclosure of listed companies (Order No. 182 of the CSRC). Wang Chunjiang and Zhao Yuhua are mainly responsible for the untimely disclosure of information.
According to the provisions of articles 51 and 52 of the measures for the administration of information disclosure of listed companies (Order No. 182 of the CSRC), our bureau has decided to take the supervision and administration measures of issuing warning letters to Wang Chunjiang and Zhao Yuhua respectively, and record them in the integrity archives of the securities and futures market. You should seriously learn lessons, strengthen the study of securities laws and regulations, improve the standard operation level and information disclosure quality of the company, eliminate such violations in the future, and submit a written rectification report to our bureau within 10 working days from the date of receiving this decision.
If you are not satisfied with the supervision and administration measures, you can apply for administrative reconsideration to the China Securities Regulatory Commission within 60 days from the date of receiving the decision, or you can bring a lawsuit to the people’s court with jurisdiction within 6 months from the date of receiving the decision. During the period of reconsideration and litigation, the above supervision and management measures shall not be suspended. The company attaches great importance to the above problems and will urge relevant parties to make practical rectification in accordance with the relevant requirements of Zhejiang securities regulatory bureau, strengthen the study of relevant laws, regulations and normative documents such as the administrative measures for information disclosure of listed companies, continuously improve the quality of information disclosure, ensure the authenticity, accuracy and integrity of the disclosed information, promote the healthy, stable and sustainable development of the company and safeguard the interests of the company and all shareholders.
