Announcement on changing the sponsor of the financial advisor

Utour Group Co.Ltd(002707) (hereinafter referred to as “the company”) hired Huatai United Securities Co., Ltd. (hereinafter referred to as “Huatai United Securities”) as an independent financial consultant for the issuance of shares, purchase of assets and related party transactions (hereinafter referred to as “the transaction”) in 2018, with a continuous supervision period until December 31, 2019.
As part of the restricted shares in this transaction had not been listed and circulated as of December 31, 2019, the independent financial adviser continued to perform the continuous supervision responsibility for the listing and circulation of some restricted shares of the company in accordance with the requirements of relevant laws and regulations.
Recently, the company received a letter from Huatai United Securities Co., Ltd. on changing the sponsor of the financial adviser during the continuous supervision of Utour Group Co.Ltd(002707) 2018 issuance of shares to purchase assets and related party transactions. Ms. Ding Ding has resigned from Huatai United Securities Co., Ltd. due to her personal work change. According to the requirements of relevant regulations, Huatai United Securities now appoints Mr. Chen Yitong (see the attachment for resume) to replace Ms. Ding Ding and continue to perform the continuous supervision responsibility for the listing and circulation of some restricted shares of the company. After this change, Mr. Huang Junjie and Mr. Chen Yitong are the sponsors of the financial consultant during the continuous supervision of the company.
