On January 7, 2022, the notice of the 21st Meeting of the seventh board of directors of Guangdong No.2 Hydropower Engineering Company Ltd(002060) (hereinafter referred to as “the company”) was sent to all directors in the form of e-mail. The meeting was held by means of communication voting on January 13, 2022. There were 9 directors who should attend the meeting, 9 directors who actually attended the meeting, members of the board of supervisors and some senior managers attended the meeting as nonvoting delegates.
The meeting was held in accordance with the relevant provisions of the company law and the articles of association, considered all the proposals listed in the notice and made the following resolutions:

In order to expand clean energy power generation business, expand the scale of clean energy power generation business and improve profit level, the board of directors agreed that southeast Guangdong No.2 Hydropower Engineering Company Ltd(002060) Investment Co., Ltd., a wholly-owned subsidiary, would invest in the construction of 60MW agricultural (vegetable basket project) optical composite project in Guangdong No.2 Hydropower Engineering Company Ltd(002060) Bolian Town, Lingao County, Hainan Province, with a total investment of 356425800 yuan.

2、 The proposal on providing guarantee for Southeast Guangdong No.2 Hydropower Engineering Company Ltd(002060) Investment Co., Ltd., a wholly-owned subsidiary, was deliberated and adopted with 9 affirmative votes, 0 negative votes and 0 abstention votes (this proposal needs to be submitted to the general meeting of shareholders for deliberation).
In order to promote the investment and construction of 60MW agricultural (vegetable basket project) optical composite project in Guangdong No.2 Hydropower Engineering Company Ltd(002060) Bolian Town, Lingao County, Hainan Province, and strive for the project to be put into operation as soon as possible, the board of directors agreed that the company would provide a guarantee for the construction period for the loan of financial institutions not exceeding 285140600 yuan for the wholly-owned subsidiary Southeast Guangdong No.2 Hydropower Engineering Company Ltd(002060) Investment Co., Ltd.
The proposal was reviewed and approved by more than two-thirds of the directors present at the board of directors and more than two-thirds of all independent directors, and a resolution was made.
