Independent opinions on relevant matters
As an independent director of Shenzhen Anche Technologies Co.Ltd(300572) (hereinafter referred to as “the company”) in accordance with the guiding opinions on the establishment of independent director system in listed companies, the Listing Rules of GEM stocks of Shenzhen Stock Exchange, the guidelines for the standardized operation of GEM listed companies of Shenzhen Stock Exchange, the articles of Association, the working system of independent directors and other relevant provisions, Based on independent judgment, we hereby express the following independent opinions on relevant matters of the 32nd meeting of the third board of directors of the company:
1、 Independent opinions on signing the supplementary agreement to the equity transfer agreement of Yinan Yong’an and Mengyin Mengcheng
After verification, we believe that the performance commitment period of Yinan Yongan motor vehicle testing Co., Ltd. and Mengyin Mengcheng motor vehicle testing Co., Ltd. and the payment of equity transfer price adjusted accordingly are not damaged to the interests of the company, shareholders, especially minority shareholders. When the board of directors deliberated on this matter, the voting procedure was legal and effective, and complied with the provisions of relevant laws, administrative regulations, departmental rules and the articles of association. Therefore, we agree to extend the performance commitment period of Yinan Yongan motor vehicle testing Co., Ltd. and Mengyin Mengcheng motor vehicle testing Co., Ltd. and adjust the payment of equity transfer price.
