Independent opinions on using idle raised funds for cash management
In accordance with the relevant provisions of the rules for independent directors of listed companies, the guidelines for the governance of listed companies, the Listing Rules of Shanghai Stock Exchange and the articles of association, as the independent director of Sichuan Em Technology Co.Ltd(601208) (hereinafter referred to as the “company”), based on our independent judgment, we hereby express our independent opinions on the company’s use of idle raised funds for cash management as follows:
The deliberation and decision-making procedures of the company’s proposed use of idle raised funds for cash management comply with the relevant provisions of the guidelines for the supervision of listed companies No. 2 – supervision requirements for the management and use of raised funds by listed companies (2022), the guidelines for the self discipline supervision of listed companies on Shanghai stock exchange No. 1 – standardized operation (2022), and the measures for the management of Sichuan Em Technology Co.Ltd(601208) raised funds. During the implementation of the raised investment project, the company uses idle raised funds to purchase bank financial products with high safety, good liquidity and meeting the capital preservation requirements, which can improve the ability of maintaining and increasing the value of funds and increase the investment income of the company, will not affect the normal implementation of the raised investment project, nor will it change the purpose of the raised funds in a disguised manner and damage the interests of shareholders. At the same time, the company has formulated perfect and effective internal control and risk control measures, which can fully ensure the safety of the raised funds. Therefore, all independent directors unanimously agreed on the company’s use of idle raised funds for cash management, and agreed to submit this proposal to the company’s 2021 annual general meeting for deliberation.
