Shenzhen Changfang Group Co.Ltd(300301) (hereinafter referred to as “the company”) held the 20th meeting of the 4th board of directors and the 12th meeting of the 4th board of supervisors on April 29, 2022, and deliberated and adopted the proposal on Directors’ remuneration in 2021 and 2022, the proposal on senior managers’ remuneration in 2021 and 2022, and the proposal on supervisors’ remuneration in 2021 and 2022, The board of directors and supervisors’ high salary scheme in 2022 is hereby announced as follows:
1、 Applicable object
Directors, supervisors and senior managers who receive remuneration in the company.
2、 Applicable period
The remuneration scheme of directors and supervisors shall be valid from the date of approval of the new remuneration scheme after being deliberated and approved by the general meeting of shareholders of the company; The remuneration scheme of senior managers shall be valid until the new remuneration scheme is approved by the board of directors of the company.
3、 Salary standard
1. Remuneration scheme for directors of the company
(1) Directors of the company (excluding independent directors and chairman of the board of directors) receive remuneration according to their positions in the company, and do not receive director remuneration in the company for their positions as directors.
(2) The chairman of the company will no longer receive the company’s salary since February 2022.
(3) The allowance for independent directors of the company is 114300 yuan / year.
2. Remuneration scheme for supervisors of the company
The company’s supervisors receive remuneration according to their positions in the company, and receive an additional allowance of 1000 yuan / month for their positions as supervisors.
3. Compensation scheme for senior management of the company
Senior managers of the company shall receive remuneration according to the relevant salary regulations of the company according to their specific management positions in the company.
4、 Other provisions
1. The remuneration of the company’s directors (including the chairman and independent directors), supervisors and senior managers shall be paid on a monthly basis, and the expenses actually incurred due to attending the company’s meetings shall be reimbursed by the company;

If the directors (including the chairman and independent directors), supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, they shall be calculated and paid according to their actual term of office;
