April 29, 2022, Shanghai Geoharbour Construction Group Co.Ltd(605598) infrastructure (Group) Co., Ltd. (hereinafter referred to as “the company”) held the 10th meeting of the second board of directors, deliberated and adopted the proposal on the remuneration scheme of directors in 2022 and the proposal on the remuneration scheme of senior managers in 2022 , the independent directors expressed independent opinions on the remuneration scheme of directors and senior managers; The company held the 10th meeting of the second board of supervisors, deliberated and adopted the proposal on the remuneration scheme of supervisors in 2022. Among the above proposals, the proposal on the remuneration scheme of directors in 2022 and the proposal on the remuneration scheme of supervisors in 2022 need to be submitted to the general meeting of shareholders of the company for deliberation.
Based on the comprehensive consideration of the company’s industry, the average salary level of the market and the salary level of Companies in the same industry, combined with the actual business performance of the company and the performance of relevant personnel, and in accordance with the articles of association and the company’s internal salary and welfare system, the salary scheme for directors, supervisors and senior managers in 2022 is formulated, as follows:

3、 Compensation scheme
1. Remuneration scheme for directors of the company
(1) Non independent directors who hold specific positions in the company will receive corresponding remuneration according to their positions in accordance with the relevant remuneration and welfare management system of the company, and will not receive director’s allowance separately;
(2) The company’s Independent Directors receive an independent director allowance of 50000 yuan / year in the company;
(3) Other non independent directors who do not hold management positions in the company will not receive director allowance.
2. Remuneration scheme for supervisors of the company
(1) Supervisors holding specific positions in the company will receive corresponding remuneration according to their positions and the relevant salary and welfare management system of the company, and will not receive supervisor allowance separately;
(2) Supervisors who do not hold management positions in the company will not receive supervisor allowance.
3. Compensation scheme for senior management of the company
Senior managers of the company shall be comprehensively evaluated according to their specific positions in the company, work performance, business performance and other factors, and receive corresponding salary according to the relevant salary and welfare management system of the company.
4、 Other instructions
1. If the directors, supervisors and senior managers of the company leave their posts due to change of office, re-election, resignation during their term of office and other reasons, the remuneration shall be calculated and paid according to their actual term of office.
2. The above salaries are tax inclusive income, and the personal income tax involved is uniformly withheld and remitted by the company. The above salaries can be adjusted appropriately according to the industry situation and the actual operation of the company.

1. Independent opinions on the proposal on the remuneration scheme of directors in 2022
In accordance with the relevant provisions of the company law, the guidelines for the governance of listed companies, the articles of association and the company’s internal compensation and welfare system, the director’s compensation plan for 2022 has fully considered the company’s actual operation, industry and overall market salary level, and meets the needs of the company’s management, operation and business development; The procedure of salary review and payment also complies with the relevant provisions of relevant laws and regulations and normative documents.
