Announcement on the remuneration of directors, supervisors and senior managers in 2021 and the remuneration scheme in 2022

The company and all members of the board of directors guarantee that the contents of the announcement are true, accurate and complete without false records, misleading statements or major omissions.

1、 Salary performance in 2021

According to the actual performance completed by the company in 2021 and the provisions of the company’s relevant salary management measures, the company assessed the directors, supervisors and senior managers, and determined that the total salary of directors, supervisors and senior managers in 2021 was RMB 118117 million. For details, see the disclosure in the corresponding chapters of the company’s full text of 2021 annual report.

2、 Compensation plan for 2022

In accordance with the standards for the governance of listed companies, the articles of association and the detailed rules for the implementation of the remuneration and assessment committee of the board of directors, and in combination with the industry conditions, the actual operation of the company and the business assessment requirements, the company has proposed the remuneration scheme for directors, supervisors and senior managers in 2022 as follows:

(I) scope of application: directors, supervisors and senior managers who receive remuneration in the company

(II) applicable period: January 1, 2022 to December 31, 2022

(III) salary standard

1. Director

(1) Independent directors and external directors (refer to non independent directors who are not in charge of specific affairs in the company and do not hold other positions except directors in the company): Directors’ allowance is 150000 / year (before tax), which is paid on an average monthly basis.

(2) Internal directors (refer to non independent directors who sign labor contracts with the company, hold senior management positions or other work positions), according to their specific positions in the company, receive remuneration according to the relevant remuneration management measures of the company, and do not receive director allowance separately.

2. Supervisor

Supervisors serving in the company will receive remuneration according to their specific positions in the company and relevant salary management measures of the company, and will not receive additional supervisor allowance; Supervisors and supervisors who do not take office in the company do not receive salary allowances.

3. Senior management

Senior managers receive remuneration according to their specific positions in the company and relevant salary management measures of the company.

3、 Other

(I) the above salaries are pre tax amounts, and the individual income tax involved shall be uniformly withheld and paid by the company. (II) the company shall bear the expenses incurred by the directors, supervisors and senior managers of the company in attending the meetings of the board of directors, the board of supervisors, the general meeting of shareholders and other duties.

(III) according to the articles of association and other relevant provisions, the remuneration of directors in 2021 and the remuneration plan in 2022 need to be submitted to the company’s 2021 annual general meeting for deliberation and approval, the remuneration of supervisors in 2021 and the remuneration plan in 2022 need to be submitted to the company’s 2021 annual general meeting for deliberation and approval, and the remuneration of senior managers in 2021 and the remuneration plan in 2022 can be submitted to the company’s board of directors for deliberation and approval.

4、 Opinions of independent directors

The performance appraisal of the company’s directors and senior managers fully considers the salary level of the company’s industry and region, the company’s business performance and the responsibilities of the directors and senior managers, and gives better consideration to the incentive and restraint mechanism, which is conducive to urging the directors and senior managers to be diligent and improve their work performance, so as to further improve the company’s operating efficiency and promote the sustainable and stable development of the company.

The formulation and implementation procedures of the remuneration scheme of the company’s directors and senior managers comply with the provisions of relevant laws and regulations, the articles of association and other relevant systems, and there is no damage to the interests of the company and shareholders. Therefore, we unanimously agree on the remuneration of directors and senior managers in 2021 and the remuneration plan in 2022.
