Announcement on the addition of independent directors

Mr. Yang Fangchun, an independent director of the 8th board of directors of the company, resigned for personal reasons. After his resignation, Mr. Yang Fangchun will no longer hold any position in the company. For details, see the announcement of Yiyang Xintong on the resignation of independent directors (Announcement No.: pro 2021060) disclosed by the company on June 11, 2021.
In accordance with the company law of the people’s Republic of China, the rules for independent directors of listed companies issued by the CSRC, the self regulatory guidelines for listed companies of Shanghai Stock Exchange No. 1 – standardized operation, the articles of association and other relevant provisions, the board of directors of the company decided to add an independent director, and carefully examined the qualification and performance ability of the candidates for independent directors to be added, It is agreed to nominate Mr. Jiang Xin as the candidate for independent director of the eighth board of directors of the company (the resume is attached), and the term of office of the additional independent director is from the date of deliberation and approval by the general meeting of shareholders to the date of expiration of the term of office of the eighth board of directors.
The company held the 20th meeting of the 8th board of directors on April 27, 2022, deliberated and adopted the proposal on adding independent directors to the company.
As an independent director candidate of the eighth board of directors of the company, Mr. Jiang Xin’s qualification and independence need to be reviewed by Shanghai Stock Exchange, and this proposal needs to be submitted to the general meeting of shareholders of the company for deliberation.
2、 Independent opinions expressed by independent directors of the company
The independent directors reviewed the proposal on adding independent directors of the company and held that:
1. The procedure of nominating Mr. Jiang Xin as an independent director candidate by the board of directors of the company complies with the relevant provisions of the company law and the articles of Association;
2. After reviewing the personal resume and other relevant materials of the nominees, we believe that this nomination is carried out on the basis of fully understanding the nominees’ educational background, work experience, part-time work, social qualifications and professional quality, and has been approved by the nominees. The nominees are not prohibited from holding office as stipulated in Article 146 of the company law, and are determined by the CSRC to be prohibited from entering the market and have not been lifted.
Conclusion: we agree with the resolution of the board of directors on the proposal on adding independent directors of the company, and agree to submit the proposal to the general meeting of shareholders for deliberation.
