As an independent director of Fujian Snowman Co.Ltd(002639) (hereinafter referred to as the “company”) in accordance with the guiding opinions on the establishment of independent director system in listed companies, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and other relevant laws and regulations, the articles of association and the working system of independent directors of the company, We have reviewed the relevant proposals submitted to the second meeting of the Fifth Board of directors for deliberation, and now express the following prior approval opinions on relevant matters:
1、 Prior approval opinions on re employment of audit institutions in 2022
The company will continue to engage the audit institution in 2022 to communicate with us in advance. We listened to the reports of relevant personnel and reviewed relevant materials. We believe that Dahua Certified Public Accountants (special general partnership) was able to complete the audit and assurance work on schedule and with good quality, adhere to the independent audit standards, ensure the smooth development of all work, and better fulfill the responsibilities and obligations of the audit institution. We agree to submit the above proposal to the board of directors of the company for deliberation.
2、 Prior approval opinions on the prediction of daily operation related party transactions in 2022
After careful verification, listening to the reports of relevant personnel and reviewing relevant materials, we believe that the daily related party transactions of the company in 2022 are reasonably estimated by the company according to the transactions of previous years. The daily related party transactions involved are required by the normal business of the company, and there is no damage to the interests of the company and other shareholders, especially the interests of minority shareholders.
