Announcement of salary (allowance) scheme

Hitevision Co.Ltd(002955) (hereinafter referred to as “the company”) held the 12th meeting of the second board of directors and the 8th meeting of the second board of supervisors on April 27, 2022, and deliberated and adopted the proposal on the remuneration (allowance) scheme for directors, supervisors and senior managers of the company in 2022. The independent directors of the company have expressed their independent opinions on relevant matters, and this proposal needs to be submitted to the 2021 annual general meeting of shareholders for deliberation.
In order to further improve the salary management of the company’s directors, supervisors and senior managers, promote them to perform their post responsibilities in good faith and diligence, and ensure the sustainable, stable and healthy development of the company, according to the articles of association, the working rules of the salary and assessment committee of the board of directors and other relevant regulations of the company, the company refers to the salary level of the industry and combines the actual situation The company has formulated the remuneration (allowance) plan for directors, supervisors and senior managers in 2022. This plan will be implemented after the deliberation of the general meeting of shareholders, as follows:
1、 Applicable object
Directors, supervisors and senior managers of the company.
2、 Applicable period
January 1, 2022 to December 31, 2022
3、 Salary (allowance) standard
(I) the remuneration of directors and (I) the performance allowance of supervisors.
(II) the basic salary (allowance) is mainly determined by considering the position, responsibility, ability, market salary and other factors, and is paid on a monthly basis.
(III) the performance bonus is mainly determined according to the company’s task objectives, combined with the comprehensive assessment results such as individual post performance assessment and the completion of the company’s objectives. It is usually assessed and paid at the end of each year or according to each assessment cycle.
4、 Remuneration (allowance) scheme for directors, supervisors and senior managers
(I) directors’ remuneration (allowance) scheme
1. Directors of the company who hold management positions in the company shall receive remuneration (allowance) according to their management positions.
2. Allowance for independent directors: 12000 yuan / month per person, including tax and paid monthly.
(II) remuneration scheme for supervisors
The company’s supervisors are paid according to their actual positions in the company, and each employee supervisor is entitled to a post allowance of 1000 yuan per month.
(III) remuneration scheme for senior managers
Senior managers of the company shall pay salaries (allowances) according to relevant regulations of the company according to their specific management positions in the company.
5、 Other provisions
(I) the remuneration (allowance) of the company’s directors, supervisors and senior managers shall be paid on a monthly basis.
(II) the individual income tax involved in the above salary (allowance) shall be uniformly withheld and paid by the company.
(III) if the directors, supervisors and senior managers of the company leave their posts due to the change of office, re-election, resignation within the term of office and other reasons, the salary (allowance) shall be calculated and paid according to the actual term of office.
