In accordance with the company law, the securities law, the Listing Rules of Shenzhen Stock Exchange on the gem, the self regulatory guidelines for listed companies on the Shenzhen Stock Exchange No. 2 – standardized operation of companies listed on the gem, the guiding opinions on the establishment of independent director system in listed companies, the measures for the Administration of securities issuance and registration of companies listed on the gem (for Trial Implementation), the Safbon Water Service (Holding) Inc.Shanghai(300262) independent director working system and the Safbon Water Service (Holding) Inc.Shanghai(300262) articles of association As an independent director of Safbon Water Service (Holding) Inc.Shanghai(300262) (hereinafter referred to as “the company”), in accordance with the relevant provisions of laws, regulations and normative documents, in a serious and responsible attitude and based on an independent, prudent and objective position, he conducted a prior review on the relevant matters to be considered at the 36th meeting of the Fourth Board of directors, and expressed the following written opinions:
1、 Prior approval opinions on re employment of audit institutions in 2021
Independent directors Mr. Li Jianyong and Mr. Kang Zhongliang believe that Zhonghua Certified Public Accountants (special general partnership) has rich experience and professional quality in the audit of listed companies, and the audit reports issued for the company are objective and fair, and better perform its responsibilities and obligations; Agree that Zhonghua Certified Public Accountants (special general partnership) will continue to undertake the audit of the company in 2022; It is agreed to submit the above relevant proposals to the 36th meeting of the Fourth Board of directors for deliberation.
Ms. Liu Tao believes that based on the fact that Zhonghua Certified Public Accountants (special general partnership) has been serving the company for many years, there was a large amount of provision for asset impairment and write off of assets in 2021, and there was correction of accounting errors in the early stage; I have reservations about Zhonghua Certified Public Accountants (special general partnership) continuing to undertake the audit of the company in 2022.
