Independent opinions of independent directors on fund occupation and external guarantee of related parties of the company
As an independent director of Pengdu Agriculture & Animal Husbandry Co.Ltd(002505) (hereinafter referred to as “the company”), we are in a serious and responsible attitude, seeking truth from facts, based on the principles of objectivity, fairness and impartiality, and in accordance with the guidelines for the supervision of listed companies No. 8 – regulatory requirements for capital transactions and external guarantees of listed companies, the stock listing rules of Shenzhen Stock Exchange The self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the articles of association and other relevant laws and regulations have carefully verified the occupation of the company’s funds and external guarantees by the company’s related parties, and now express the following independent opinions:
(I) capital occupation of controlling shareholders and related parties
As of the end of the reporting period, the company had no occupation of non operating funds by controlling shareholders and related parties.
(II) external guarantee of the company
As of December 31, 2021, the company has no overdue external guarantee, no overdue guarantee, no external guarantee involving litigation and no loss due to the judgment of losing the guarantee. There is no guarantee for the controlling shareholder and its related parties.
The company has a strong awareness of risk control of external guarantee, and the approval procedures of external guarantee meet the requirements of relevant regulations, without damaging the interests of shareholders.
