1、 Overview of the fund
China Unicom innovation and Venture Capital Co., Ltd., a wholly-owned subsidiary of China United Network Communications Co., Ltd., an indirect holding subsidiary of China United Network Communications Limited(600050) (hereinafter referred to as the “company”), as a limited partner, invested RMB 5 million with its own funds to subscribe for the shares of Gongqingcheng Unicom Xinye equity investment partnership (limited partnership) (hereinafter referred to as the “fund”). For details of this matter, see the announcement on the participation of subsidiaries in subscribing for investment fund units (Announcement No.: 2019-008) disclosed by the company on February 2, 2019.
2、 Fund operation
1. The fund completed its industrial and commercial registration on December 10, 2018 and obtained the private investment fund Filing Certificate on December 21, 2018.
2. In June 2019, the fund invested in China Unicom Smart Network Technology Co., Ltd. (now renamed “China Unicom Smart Network Technology Co., Ltd.”, hereinafter referred to as “smart network technology”) and obtained 2.65% of its equity.
3、 Fund liquidation and cancellation
In order to optimize resource allocation and improve the transaction structure, the fund held a meeting of all partners and agreed that the fund would be dissolved, liquidated and cancelled in accordance with the relevant provisions of the partnership agreement; All equity of smart net technology held by the fund shall be distributed to partners at the cost of shareholding according to the proportion of partners’ paid in capital; The fund manager, China Unicom innovation equity investment management (Chengdu) Co., Ltd., acts as the liquidator to handle fund liquidation and other related matters.
On January 11, 2022, the fund obtained the certificate of cancellation of industrial and commercial enterprises issued by the Gongqing city administrative examination and approval Bureau, agreed to approve the registration of the fund cancellation application, and the fund cancellation was completed. 4、 Impact on Listed Companies
