Announcement on the resignation of the chairman of the board of supervisors and by election of supervisors

1、 Resignation of Supervisor
Recently, the board of supervisors of Yonker Environmental Protection Co.Ltd(300187) (hereinafter referred to as “the company”) received a written resignation report submitted by Mr. Ding Shuaijun, chairman of the board of supervisors of the company. Mr. Ding Shuaijun applied for resignation as chairman and supervisor of the 5th board of supervisors of the company for personal reasons. His original term of office expires on September 14, 2023. After resigning from the above position, Mr. Ding Shuaijun will no longer hold any position in the company.
According to the company law of the people’s Republic of China (hereinafter referred to as the “company law”), the Yonker Environmental Protection Co.Ltd(300187) articles of Association (hereinafter referred to as the “articles of association”) and other relevant laws and regulations, Mr. Ding Shuaijun’s resignation will cause the number of members of the company’s board of supervisors to be lower than the legal minimum. Before the supervisor elected by the company’s general meeting takes office, Mr. Ding Shuaijun will still perform his duties as a supervisor in strict accordance with relevant regulations.
As of the disclosure date of this announcement, Mr. Ding Shuaijun holds 1000 shares of the company, accounting for 0.0002% of the total share capital of the company. There are no commitments that should be fulfilled but not fulfilled. After his resignation, he will continue to manage his shares in accordance with the requirements of relevant laws, regulations and normative documents such as the rules for the management of shares and changes held by directors, supervisors and senior managers of listed companies.
2、 By election of supervisors
In view of the resignation of Mr. Ding Shuaijun, chairman of the board of supervisors of the company, in order to ensure the normal operation of the board of supervisors of the company and ensure the smooth handover of relevant work, he was nominated by Hunan Yongqing Environmental Technology Industry Group Co., Ltd., the controlling shareholder of the company, in accordance with the provisions of the company law, the articles of association and relevant laws and regulations, The proposal on nominating Ms. Zou Fengming as a candidate for non employee representative supervisor of the Fifth Board of supervisors was reviewed and approved at the first extraordinary meeting of the Fifth Board of supervisors in 2022, and Ms. Zou Fengming was agreed to be elected as a non employee representative supervisor of the Fifth Board of supervisors and submitted to the general meeting of shareholders for deliberation, The term of office starts from the date of deliberation and approval by the general meeting of shareholders to the date of expiration of the Fifth Board of supervisors. Zou Fengming, female, born in September 1983, with a bachelor’s degree, graduated from Hunan Normal University. She joined the work in 2005. She once worked in Yuanda Air Conditioning Co., Ltd. and successively served as the Minister of reception department and the Minister of reception department of Yuanda Pavilion of Shanghai World Expo.
In April 2011, he joined Hunan Yongqing Environmental Technology Industry Group Co., Ltd. (hereinafter referred to as “Yongqing group”) and successively served as manager of the administrative department and director of the General Department of the marketing management center. From February 2020 to now, he has served as general manager of property management division of Yongqing group and vice chairman of trade union of Yongqing group.
