Independent opinions on matters related to the second meeting of the Fourth Board of directors
In accordance with the guiding opinions on the establishment of independent director system in listed companies, the Listing Rules of GEM stocks of Shenzhen Stock Exchange, the guidelines for the standardized operation of GEM listed companies of Shenzhen Stock Exchange and other laws and regulations, normative documents, as well as the articles of association, working rules for independent directors and other relevant provisions of the CSRC, As an independent director of Huarui Electrical Appliance Co.Ltd(300626) (hereinafter referred to as “the company”), based on the principles of independence, objectivity and impartiality, I hereby express the following independent opinions on the relevant proposals considered at the second meeting of the Fourth Board of directors of the company:
1、 Independent opinion on change of accounting firm
After audit, we believe that Dahua Certified Public Accountants (special general partnership) has the practice certificate of certified public accountants and relevant business qualifications such as securities and futures, has rich audit experience and excellent practice team, meets the relevant regulations and requirements for providing audit services for listed companies, and can meet the needs of the company’s future financial report audit. The reason why the company intends to change the accounting firm this time is reasonable and compliant, which helps to ensure the independence and objectivity of the company’s audit work. The review procedures comply with the relevant provisions of laws and regulations, the company law and the articles of association, and there is no situation that damages the interests of the company and shareholders, especially small and medium-sized shareholders.
To sum up, we agree that the company will appoint Dahua Certified Public Accountants (special general partnership) as the auditor of the company’s financial report in 2021, and agree to submit the proposal to the company’s first extraordinary general meeting in 2022 for deliberation.
