Announcement on changing the business scope and amending the articles of Association

Western Regions Tourism Development Co.Ltd(300859) (hereinafter referred to as “the company”) convened the 9th meeting of the 6th board of directors on April 26, 2022, deliberated and adopted the proposal on changing the business scope and amending the articles of association. According to the business development needs of the company, the company plans to change the business scope. The final adjustment of the business scope shall be subject to the final approval result of the industrial and commercial registration department. The specific amendments are as follows:
1、 Change of business scope of the company
In combination with the actual operation of the company, it is proposed to change the relevant business scope of the articles of association. The change involves: shuttle bus passenger transport business.
Before the change: Article 13 the business scope of the company: Catering and shuttle bus passenger transport (only for branches); Tourism services; Tourism resources development; Sales of Tourism Arts and crafts; Battery car operation; Tour Guide Service; Passenger ropeway operation; Sightseeing bus operation; Advertising business operation, bus passenger transport service; House leasing; Convenience store retail; Wholesale and retail of food, agricultural and sideline products, textiles, sales of daily necessities, repair and maintenance of motor vehicles (for projects subject to approval according to law, business activities can be carried out only with the approval of relevant departments).
After change: Article 13 business scope of the company: Catering; Shuttle bus passenger transport; Tourism services; Tourism resources development; Sales of Tourism Arts and crafts; Battery car operation; Tour Guide Service; Passenger ropeway operation; Sightseeing bus operation; Advertising business operation, bus passenger transport service; House leasing; Convenience store retail; Wholesale and retail of food, agricultural and sideline products, textiles, sales of daily necessities, repair and maintenance of motor vehicles; Tourism passenger transport; Car rental (for projects subject to approval according to law, business activities can be carried out only after approval by relevant departments)

Article 202 the articles of association shall come into force from the date of adoption of the company’s 2001st extraordinary general meeting in 2021. The articles of association shall come into force from the date of adoption of the general meeting of shareholders.

In addition to amending the above provisions, other provisions of the articles of association remain unchanged. The above matters need to be submitted to the 2021 annual general meeting of shareholders of the company for deliberation, and need to be approved by more than two-thirds of the voting rights held by shareholders (including shareholders’ agents) attending the general meeting of shareholders.
